Greenify Ltd – Planet Positive People Service Terms & Conditions 

1. Who we are 

1.1 Greenify is the trading name of Greenify Ltd, a private limited company dedicated to empowering businesses and consumers to drive positive environmental action. Greenify Ltd is incorporated and registered in England and Wales with company number 12022273. 

1.2 Whenever we say “we”, “us” or “our” we mean Greenify Ltd. Whenever we say “you” or “your”, we mean a customer or user of our services. 

2. How to contact us 

2.1 Greenify’s registered office is at 4th Floor, Croxley House, 14 Lloyd Street, Manchester, M2 5ND.

3. Our Planet Positive People® Service 

3.1 The typical personal annual eco-footprint is defined by Greenify as: 

• 12.7 tonnes of greenhouse gas emissions 

• 34 kg of plastic waste 

• 8 trees lost to the environment 

3.2 Each month, for the duration of your Planet Positive People subscription, for each employee included in your subscription, we will purchase, arrange, procure, or retire a quantity of Environmental Assets sufficient to compensate for the employee’s eco-footprint for a period of one month. That is: 

• 1.1 tonnes of certified carbon credits 

• 3 kg of plastic waste recovered 

• 1 tree planted 

3.3 Each month, we will provide you with an Impact Statement detailing your cumulative positive environmental action since subscribing to Planet Positive People. 

3.4 Procurement of Climate Action/Environmental Assets 

3.5 In order to maximise the impact of the Subscription Fees paid by Greenify’s customers, we will purchase Environmental Assets in bulk. Greenify shall be under no obligation to procure Environmental Assets immediately in respect of any Planet Positive People subscription. 

3.6 Within 12 working days of the end of each month, we shall purchase, arrange, procure or retire a quantity of Environmental Assets sufficient to compensate for our aggregate obligations to all Planet Positive People customers. 

3.7 We reserve the right to amend the Services if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services, and we shall notify you in any such event. 

3.8 The specific products making up the Environmental Assets shall be purchased from a variety of accredited projects and providers, selected at our absolute discretion. 

3.9 In respect of any Environmental Assets which consist of the planting of trees, actual planting dates will be at the discretion of our chosen partners, and may be subject to seasonal factors. 

3.10 Should a specified environmental asset become unavailable, we reserve the right to substitute said asset with an alternative environmental asset of equal monetary value.

4. Subscription Fee and Payment 

4.1 The Subscription Fees for the Services are set out on our website. 

4.2 We reserve the right to vary the Subscription Fee, provided that we give you not less than 30 days’ notice of variation. 

4.3 We will not be obliged to carry out any of the Services unless and until Subscription Fee has been paid in full. 

4.4 All purchases are executed by our third-party payment services provider under their terms of service which will be made accessible to you prior to every purchase. 

4.5 The payment methods available from our third-party payment services provider will be indicated at the time of purchase. 

4.6 We do not store any of your payment card details. 

5. Intellectual property rights 

5.1 Greenify will provide a link to access Materials, including Planet Positive People logo, We Greenify logo and user Sustainability Statement. 

5.2 During the term of your subscription, you have the right use these Materials, together with the Planet Positive People name, the Greenify name, any Impact Certificates we may send you, plus any other materials we may make available to you from time to time. 

5.3 All Intellectual Property Rights in or arising out of or in connection with the Services (other than Intellectual Property Rights in any materials provided by you), including all Intellectual Property Rights subsisting in the Planet Positive People Label and Logo and the We Greenify Logo, shall be owned by Greenify. 

6. Limitation of liability 

6.1 Nothing in these Terms limits any liability which cannot legally be limited, including: liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; and breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession). 

6.2 Greenify’s total liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract shall not exceed the total charges paid by the Customer to us in the 12 months immediately preceding the date of any claim. 

6.3 Greenify shall not be liable to you in contract, tort (including negligence), breach of statutory duty, or otherwise, under or in connection with the Contract, for: 

(a) loss of profits; 

(b) loss of sales or business; 

(c) loss of agreements or contracts; 

(d) loss of anticipated savings; 

(e) loss of use or corruption of software, data or information; 

(f) loss of or damage to goodwill; or 

(g) indirect or consequential loss. 

6.4 You accept and acknowledge that the Planet Positive People service is provided as a tool by which you can drive positive climate action and promote your sustainability efforts, and that using our service does not guarantee that the products are compliant with any laws, regulations or guidelines. The Customer’s compliance with the law shall be the sole responsibility of the Customer, and Greenify shall have no liability or responsibility should you be deemed to not be compliant. 

6.5 This clause shall survive termination of the Contract. 

7. Data protection 

7.1 Both Greenify and you will comply with all applicable requirements of the Data Protection Legislation. This clause is in addition to, and does not relieve, remove or replace, a party's obligations or rights under the Data Protection Legislation. In this clause: 

(a) Applicable Laws means (for so long as and to the extent that they apply to Greenify) the law of the European Union, the law of any member state of the European Union and/or Domestic UK Law; and 

(b) Domestic UK Law means the Data Protection Legislation from time to time in force in the UK and any other law that applies in the UK. 

7.2 The parties acknowledge that for the purposes of the Data Protection Legislation, the Customer is the controller and Greenify is the processor of all personal data provided by the Customer to Greenify under the Contract. 

8. Acceptance of Terms and Conditions 

8.1 By subscribing to our Planet Positive People service, you’re agreeing that: 

(a) you have received these Terms and Conditions in a way that you can understand; 

(b) you accept the most recent version; 

(c) you understand that by accepting the Terms and Conditions a Contract is formed. 

8.2 We reserve the right to change these Terms and Conditions from time to time. The version that applies to you is the one available on our website at the time you make your purchase. We will notify you of changes to our Terms and Conditions that may impact you. If you do not accept the most recent Terms and Conditions, you will have to terminate your Planet Positive People subscription and stop using the service. 

9. Terminating your subscription 

9.1 You can terminate your Planet Positive People subscription and stop using the service at any time by visiting https://planetpositivepeople.myshopify.com/, signing in to you profile page and clicking the ‘Cancel Subscription’ button. 

10. Governing law 

10.1 The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the law of England and Wales.
